participant terms & conditions

These Terms and Conditions govern your booking and participation in the CodeClan Applied Agentic AI Programme 2026 (the Programme).By registering for the Programme and making payment, you agree to be bound by these Terms.

Contracting Party
The Programme is delivered by CodeBase Ltd (Company No. SC437306), trading as CodeClan, with its registered office at Argyle House, 3 Lady Lawson Street, Edinburgh EH3 9DR (CodeBase, we, us). The Programme is delivered in collaboration with the University of Edinburgh Business School. However, your contract is with CodeBase. The University is not a party to your booking agreement.

The Programme
The Programme is a 12-week cohort-based course comprising online and face-to-face sessions.By registering, you commit to attend all scheduled sessions, whether online or in person.Access to University facilities is limited strictly to those sessions expressly delivered on University premises as part of the Programme. No wider University student status or access rights are conferred.

Fees and Payment
The Programme fee is as advertised at the time of booking and is subject to VAT where applicable.Full payment must be received before the Programme start date. Your place is not confirmed until payment is received in cleared funds. Where an employer or third party is paying on your behalf, you remain responsible for ensuring payment is made in full and on time. If payment is not received in full before the Programme start date, we reserve the right to withdraw your place.

Cancellations and Refunds
Cancellation must be made in writing by email to the contact address provided in your booking confirmation.

Full refund - You may cancel and receive a full refund provided written cancellation is received at least 28 days before the Programme start date.

Late cancellation - Cancellations received less than 28 days before the Programme start date will incur a 100 percent cancellation fee. No refund will be payable.

No partial refunds - No partial refunds will be provided for:Non-attendance at individual sessions.Late arrival or early departure.

Withdrawal after the Programme has commenced.These terms reflect the cohort-based structure and fixed delivery costs of the Programme.

Substitutions
You may transfer your place to a substitute participant at no additional charge, provided:

Written notice is received at least 14 days before the Programme start date; and

The substitute meets the entry criteria for the Programme.After this 14-day period, substitutions may be refused at our discretion.

Minimum Numbers and Cancellation by CodeBase
The Programme is subject to a minimum number of participants. If minimum numbers are not met, we may postpone or cancel the Programme. If the Programme is postponed, you may:

Transfer your booking to the new dates; or

Request a full refund.

If the Programme is cancelled by CodeBase, you will receive a full refund of fees paid. Our liability shall be limited to the amount of fees paid. We shall not be liable for travel, accommodation, loss of earnings or any other consequential costs.

Changes to the Programme
We reserve the right to make reasonable changes to:

Programme content;

Faculty or speakers;

Delivery format, including moving sessions online if reasonably required;

Venue location within the Edinburgh area.

Such changes shall not entitle you to a refund provided the overall learning outcomes are materially delivered.

Participant Conduct
You agree to:

Engage professionally and respectfully with other participants and faculty.#

Comply with all health, safety and venue requirements.

Use any learning platforms in accordance with their applicable terms of use.

We reserve the right to remove a participant without refund for serious misconduct, including harassment, discriminatory behaviour, unlawful activity or material breach of these Terms.

Intellectual Property
All course materials, content and teaching resources remain the intellectual property of CodeBase and/or its licensors.Materials are provided for your personal professional development only and may not be copied, recorded, shared or commercially exploited without prior written consent. Intellectual property created by you during the Programme shall remain your property, subject to any third-party platform terms applicable to tools used during delivery.

Data Protection
CodeBase will process your personal data for the purposes of administering and delivering the Programme. Limited participant information, such as name, role and organisation, may be shared with the University of Edinburgh Business School solely for Programme delivery purposes. Full details of how we process personal data are set out in our Privacy Policy.

Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or any other liability which cannot be excluded by law. Our total liability arising out of or in connection with the Programme shall not exceed the total fee paid by you. We do not guarantee specific professional, commercial or financial outcomes as a result of participation in the Programme.

Force Majeure
We shall not be liable for delay or failure to perform where such delay or failure results from circumstances beyond our reasonable control. In such circumstances, we may reschedule or adjust delivery format as reasonably required.

Governing Law
These Terms are governed by the law of Scotland. The Scottish courts shall have exclusive jurisdiction.
